Terms of Use

Last updated: November 1, 2026

Counsel-ready template — have a licensed attorney finalize before public commercial launch.

These Terms of Use (“Terms”) govern your access to and use of the LifeThread websites, applications, and related services (the “Service”). The Service is managed and operated by ScutiW AI and ScutiW Superintelligence. The software license for LifeThread is owned by Astro Arpanet LLC. By creating an account, signing in, or using the Service, you agree to these Terms, our Privacy Policy, and the License. If you do not agree, do not use the Service.

If you use the Service on behalf of a company or other entity, you represent that you have authority to bind that entity, and “you” includes that entity.

1. Nature of the Service

The Service is software that helps you build and keep a private life journey / archive (biography, timeline, memories, people, knowledge, diary, and related materials) and optionally ask questions about that archive (“Ask / Speak”).

We supply software only. We do not practice law, medicine, counseling, genealogy certification, or estate administration. Ask/Speak outputs are archive reconstructions based on what you stored—they are not the living person and must not be presented as such.

We may modify, suspend, or discontinue features. We do not warrant that the Service will meet your requirements or be available without interruption.

2. Eligibility & accounts

You must provide accurate account information and keep credentials secure (including MFA and backup codes where used). You are responsible for all activity under your account and workspaces, including archives you create, invites, Ask/Speak use, imports, exports, and billing. Notify us promptly via Contact if you suspect unauthorized access.

Free and paid plans are subject to usage and feature limits published in the product. We may suspend or terminate access for violations of these Terms, non-payment, or security risk. You use the Service at your own risk.

3. Software only; no professional advice; no liability for content

TO THE FULLEST EXTENT PERMITTED BY LAW, WE ARE NOT RESPONSIBLE OR LIABLE IN ANY MANNER WHATSOEVER FOR THE CONTENT OF YOUR ARCHIVES, FOR HOW YOU OR OTHERS USE THAT CONTENT, OR FOR DECISIONS BASED ON ASK/SPEAK OUTPUT.

YOU ASSUME, OWN, AND REMAIN SOLELY LIABLE FOR ALL LIABILITY ARISING FROM YOUR USE OF THE SERVICE AND FROM ANY MEMORY, EVENT, PERSON RECORD, DIARY ENTRY, EXPORT, SHARE, OR OTHER OUTPUT YOU CREATE, EDIT, SHARE, OR DELIVER—INCLUDING CLAIMS BY FAMILY, EXECUTORS, EMPLOYERS, REGULATORS, AND OTHER THIRD PARTIES. YOU TAKE ALL RISK OF USING THE SOFTWARE. WE ARE NOT LIABLE FOR YOUR COMPLIANCE WITH YOUR LOCAL COUNTRY’S LEGAL REQUIREMENTS (INCLUDING CANADA AND OTHER JURISDICTIONS). IF MANDATORY LAW FORBIDS THAT ALLOCATION, IT IS LIMITED ONLY TO THE MINIMUM EXTENT REQUIRED; YOU STILL OWN ALL OTHER LIABILITY FOR CONTENT AND USAGE.

YOU USE THE SERVICE AT YOUR SOLE DISCRETION AND RISK. YOU SHOULD NOT RELY ON THE SERVICE AS A SUBSTITUTE FOR QUALIFIED LEGAL, MEDICAL, FINANCIAL, OR ESTATE ADVICE. You must independently verify important facts before relying on them or sharing them with others.

4. Your content & sole responsibility

  • You retain ownership of archive content you upload and create, subject to these Terms and applicable law. You grant us a worldwide, royalty-free license to host, process, transmit, display, and create derivative works of that content only as needed to operate and improve the Service for you (including storage, Ask/Speak retrieval, sharing you enable, and support).
  • You represent that you have rights to store and process the materials you add, and that your content does not violate law or others’ rights (including privacy, publicity, and IP). Obtain consent where third parties appear in sensitive materials.
  • You own all liability for content and usage. You assume and remain solely liable for accuracy, completeness, disclosures, and any industry or jurisdictional requirements. We are not a party to your family or client relationships and have no duty to your end recipients.
  • What not to upload. Do not upload illegal content, malware, or materials you cannot lawfully process. Avoid uploading sensitive personal data of others unless you have a lawful basis and accept the risk of processing and possible third-party transmission (for example optional Ask/Speak to an AI provider).
  • Sharing & invites. Anyone you invite or share with may access content according to roles you set. You are solely responsible for invitations, roles, and revocation.

5. Ask / Speak & third-party AI

Optional Ask/Speak features may use machine learning or similar technologies (“AI Functions”). AI Functions and Output are provided “as is.” We do not warrant accuracy or suitability. Any information obtained through AI Functions is at your sole risk. Output is assistive only and must be labeled as archive reconstruction—not as a living person speaking.

  • By using Ask/Speak when a provider is configured, you authorize transmission of selected archive snippets and/or prompts to third-party AI providers under their terms. We are not those providers’ agents for billing or data handling.
  • You must not use Ask/Speak to impersonate someone without clear labeling, or to deceive others that they are communicating with a living person.
  • TO THE FULLEST EXTENT PERMITTED BY LAW, ASTRO ARPANET LLC AND ITS AFFILIATES ARE NOT LIABLE FOR HALLUCINATIONS, MISSING CONTEXT, WRONG ATTRIBUTIONS, EMOTIONAL HARM, FAMILY DISPUTES, OR ANY DAMAGES ARISING FROM AI SUGGESTIONS OR YOUR RELIANCE ON AI OUTPUT.
  • We are not liable for provider outages, model errors, content policies, data retention, or billing on any third-party AI account used to power Ask/Speak.

6. Legacy / executor features

Executor email, posthumous-access toggles, and notes for an executor are technical controls only. They do not create a will, trust, power of attorney, or legal transfer of rights. Jurisdiction-specific estate and family advice is required. We have no liability for disputes among heirs, executors, or family members, or for whether posthumous access settings are honored outside the product.

7. Subscriptions & billing

Paid plan status (for example Free, Personal, Family, Legacy) is determined from our account records and our payment processor (checkout, renewals, cancellation, past-due status). Access to paid features depends on a valid plan.

  • Subscriptions renew according to the payment processor’s checkout terms until cancelled. Taxes may apply.
  • You must cancel in the billing flow we provide (or as otherwise directed) to stop renewals. Refunds, if any, for our product fees are handled case-by-case via Contact.
  • We are not liable for delays or inconsistencies in plan display caused by network delays, failed payments, or third-party billing systems.
  • Local/demo upgrades without a live payment processor are for non-production evaluation only.

8. Personal data — no sale to third parties

We do not sell your personal data to third parties. How we collect, use, and share information (including limited sharing with service providers such as hosting, payments, or optional AI you enable) is described in the Privacy Policy. Archive content you store is for operating the Service for you — not for sale as a data product.

9. Acceptable use

You agree to use the Service only for lawful purposes. You must not: use the Service for illegal content, malware, or abuse; attempt unauthorized access; scrape, harvest, or overload the Service; reverse engineer except where forbidden by law to restrict; resell access without written permission; or interfere with security or other users. We may suspend or terminate accounts that violate these Terms or create security risk, without liability for resulting loss of access (export your data when possible before issues escalate).

10. Intellectual property

The software—including source code, interfaces, and related intellectual property—is owned by Astro Arpanet LLC and protected by applicable law. Except for the limited rights expressly granted to use the Service, no rights are transferred to you. You shall not use LifeThread trademarks or branding without prior written permission.

11. Disclaimers of warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE AND ALL OUTPUT ARE PROVIDED “AS IS,” “AS AVAILABLE,” AND WITH ALL FAULTS. NEITHER WE NOR OUR LICENSORS MAKE ANY WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR ACCURACY.

WE DO NOT WARRANT THAT ACCESS WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; THAT DEFECTS WILL BE CORRECTED; OR THAT ANY MEMORY, TIMELINE, ASK/SPEAK ANSWER, OR OTHER OUTPUT WILL BE ACCURATE, COMPLETE, OR CURRENT. YOUR USE OF THE SERVICE IS AT YOUR SOLE DISCRETION AND RISK.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER ASTRO ARPANET LLC NOR ANY OF ITS AFFILIATES, LICENSORS, SUPPLIERS, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS (COLLECTIVELY, THE “PROTECTED PARTIES”) WILL HAVE ANY LIABILITY FOR INCIDENTAL, SPECIAL, INDIRECT, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOSS OF PROFITS OR GOODWILL; BUSINESS INTERRUPTION; COST OF SUBSTITUTE SERVICES; LOSS, CORRUPTION, OR DELETION OF DATA OR YOUR CONTENT; OR DAMAGES FROM EVENTS BEYOND OUR REASONABLE CONTROL.

WITHOUT LIMITING THE FOREGOING, THE PROTECTED PARTIES SHALL HAVE NO LIABILITY ARISING OUT OF OR RELATED TO: (A) YOUR ARCHIVE CONTENT OR EXPORTS; (B) ASK/SPEAK OR OTHER AI OUTPUT; (C) CLAIMS BY FAMILY, EXECUTORS, OR OTHER THIRD PARTIES; (D) LEGACY/EXECUTOR SETTINGS OR ALLEGED FAILURE TO TRANSFER RIGHTS; (E) UNAUTHORIZED ACCESS ARISING FROM YOUR CREDENTIALS OR DEVICES; (F) THIRD-PARTY AI, BILLING, HOSTING, OR EMAIL PROVIDERS; OR (G) YOUR FAILURE TO COMPLY WITH LAW.

THE AGGREGATE LIABILITY OF THE PROTECTED PARTIES WILL IN NO EVENT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE THREE (3) MONTHS BEFORE THE CLAIM AROSE, OR (B) FIFTY U.S. DOLLARS (US$50). IF YOU HAVE PAID US NOTHING, THAT AGGREGATE SHALL NOT EXCEED US$50.

Free and trial access is provided strictly “as is,” with no uptime or accuracy commitment. You must bring any claim within one (1) year after it arises, or the claim is permanently barred, to the fullest extent permitted by law. EXCEPT WHERE APPLICABLE LAW REQUIRES OTHERWISE, WE PROVIDE NO INDEMNITY TO YOU.

NOTHING IN THESE TERMS EXCLUDES LIABILITY THAT CANNOT BE EXCLUDED UNDER MANDATORY LAW. ANY SUCH LIABILITY EXISTS ONLY TO THE MINIMUM EXTENT THAT LAW FORBIDS THE EXCLUSION. YOUR SOLE AND EXCLUSIVE REMEDY FOR DISSATISFACTION WITH THE SERVICE IS TO STOP USING IT AND, WHERE APPLICABLE, CANCEL YOUR SUBSCRIPTION.

13. Indemnification

You agree to defend, indemnify, and hold harmless the Protected Parties from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: your use or misuse of the Service; content you create, share, or deliver; Ask/Speak use or impersonation claims; your violation of these Terms or applicable law; or violation of any rights of others. You, not the Protected Parties, own and bear all such liabilities. Your indemnity obligations survive termination.

14. Term, termination & modifications

These Terms apply from your first use until terminated. We may revise these Terms at any time; changes become effective when posted (updated “Last updated” date). Continued use means you accept the updated Terms. We may suspend or terminate access without notice for violations or to protect the Service. Sections concerning disclaimers, limitation of liability, indemnity, intellectual property, and survival remain in effect after termination.

You may export and delete your account where the product provides those controls. Upon deletion of owned archives, associated content is removed from the primary store subject to backup windows and legal holds.

15. International use; mandatory law

The Service is offered as software. You use it at your own risk. Privacy, consumer, estate, export, and other legal requirements of your country (including Canada and other jurisdictions) apply to you. We are not liable for your compliance with those requirements.

If you are a consumer under mandatory law (for example certain EU, UK, Canadian, or Australian rules), you keep only those rights that law does not allow you to waive. Those rights do not expand our role: we still only provide software. Data-protection rights are exercised as described in the Privacy Policy and do not create uncapped contractual liability beyond what that law mandatorily requires.

You must not use the Service where prohibited by export, sanctions, or similar laws applicable to you.

16. General

These Terms, together with the Privacy Policy and (where applicable) DPA, are the complete agreement regarding the Service. Failure to enforce any provision is not a waiver. If any part is held unenforceable, the remainder remains in effect. You shall not assign these Terms without our consent; we may assign them in connection with a reorganization or sale of assets. Astro Arpanet LLC and its affiliates, officers, and licensors may enforce the liability and indemnity provisions.
